Read this Agreement carefully before enrolling. By submitting your documents and selecting “I Agree”, you accept this Agreement as a binding electronic contract under Section 10A of the Information Technology Act, 2000. Enrolment is confirmed only after successful verification by the Company. If you do not agree, do not enrol.

Definitions
  • “Platform” / “Company” means [ParsoFast legal entity name], operating the ParsoFast technology platform.
  • “Partner” means the independent individual enrolled to collect, carry and deliver Parcels using the Platform.
  • “Vehicle” means the two-wheeler, three-wheeler or four-wheeler the Partner uses to provide the Services.
  • “Services” means pickup, transport and delivery of Parcels accepted through the Platform.
  • “Pass Key” means a unique code generated by the Platform’s app for a booking (such as a one-time password or pass key) shared between the Partner and the Sender at pickup, and between the Partner and the Receiver at delivery, to verify handover.
  • “Welfare Board” means the gig-workers welfare board (if any) constituted under an applicable State law for the State in which the Partner operates

Nature of the Relationship
  • The Partner is an independent contractor. Nothing in this Agreement creates a relationship of employer and employee, principal and agent, or partnership between the Company and the Partner.
  • The Company will comply with the Code on Social Security, 2020 (in force from 21 November 2025), which governs social security for gig and platform workers in Maharashtra, and with any dedicated gig-worker welfare law enacted by the State of Maharashtra. Maharashtra has proposed such a law (including an aggregator welfare cess); until it is enacted and notified, the central Code applies. Where a Welfare Board and welfare cess become applicable, the Company will register the Partner and pay the prescribed contribution.
  • The Partner is free to provide similar services to others, subject to honouring accepted bookings and the obligations in this Agreement.
  • Independence (badges of contractor status). The Partner sets their own login hours, is under no obligation to accept any minimum number of bookings, may decline or cancel jobs subject to fair-conduct norms, works without exclusivity, uses their own Vehicle and equipment, and bears their own operating costs. The Company does not pay a salary, provide paid leave, or supervise the Partner as an employer.
  • No employment claim. The Partner agrees that they are not an employee and waives any claim to employee benefits (such as gratuity, provident fund or paid leave), without prejudice to the social-security entitlements due to gig and platform workers under the Code on Social Security, 2020 or applicable State law.

Eligibility
  • The Partner must be at least 18 years of age and competent to contract under the Indian Contract Act, 1872.
  • The Partner must be legally entitled to operate the Vehicle and to provide the Services in the relevant State.

KYC & Mandatory Documents

The Partner must submit, and at all times keep valid, the following. The Company may suspend the Partner whenever any document lapses, expires or is found invalid:

  • Identity & tax: a valid government-issued photo identity and PAN. Aadhaar may be submitted voluntarily only; the Company will not compel Aadhaar and will handle any Aadhaar / KYC data under the Aadhaar Act, 2016 and the Digital Personal Data Protection Act, 2023.
  • Driving Licence: a valid driving licence for the class of Vehicle used (Motor Vehicles Act, 1988).
  • Vehicle registration & permit: the Vehicle’s Registration Certificate; and, where the Vehicle is used to carry goods for hire or reward, valid commercial (yellow-plate) / transport registration and a goods-carriage permit under the Motor Vehicles Act, 1988 and the Central Motor Vehicles Rules, 1989. In Maharashtra, goods carriage for hire requires such commercial registration, a goods permit and a commercial driving licence; private (white-plate) two-wheelers may not be used to carry goods for reward.
  • Fitness, PUC & tax: a valid Fitness Certificate (for transport vehicles), a valid Pollution Under Control (PUC) certificate, and proof of road tax payment.
  • Insurance: valid third-party insurance for the Vehicle (mandatory under the Motor Vehicles Act, 1988) and, where applicable, goods-in-transit insurance.
  • Payout details: a valid bank account or UPI for receipt of earnings.
  • Renewals: the Partner must upload renewed documents before expiry. Operating with an expired or invalid document is a material breach of this Agreement.

How the Service Works
  • You book a parcel by providing accurate pickup and drop details and a true declaration of the parcel’s weight, size, value and contents.
  • Mandatory parcel photo and declaration. At the time of booking and/or pickup, you must upload a clear photograph of the parcel and enter its correct weight, height and other dimensions as required. You are solely responsible for the accuracy and truthfulness of these details (image data is handled under our Privacy Policy).
  • Right to refuse or cancel. If the photograph or the weight/dimension declaration is not provided, is incomplete, or is found to be incorrect or misleading, or if any other condition of these Terms is breached, we reserve the full right to refuse or cancel the booking without being required to assign further reasons, and applicable charges (including re-pricing for the actual weight/size) may apply.
  • Waiting time at pickup. The Delivery Partner will wait a maximum of 15 minutes from arrival at the pickup location. After that, continuation depends on vehicle availability and arrangement; the booking may be rescheduled or cancelled, a waiting or late charge may apply, and the Platform shall not be responsible for the resulting delay, save where caused by the Platform’s or its partner’s gross negligence, fraud or wilful misconduct.
  • Mandatory fallback instruction. At booking, you must select what should happen if the Receiver is not available within the waiting window - for example, hand the Parcel to a named alternate or authorised person, a permitted safe-drop, or a nominated local point. Routes may be intercity and one-directional, so return of the Parcel to the pickup point may not be available; you accept this when you book. If you do not select a fallback, the booking may not be confirmed.
  • Receiver’s details. Where you provide a Receiver’s contact details, you confirm you are authorised to share them and that the Receiver consents to be contacted by the Platform and the Delivery Partner for the delivery.
  • Pass Key verification: the app generates a unique Pass Key for each booking. At pickup, the Sender and the Delivery Partner verify the Pass Key before handover; at delivery, the Receiver and the Delivery Partner verify the Pass Key. A pickup or delivery is treated as completed only after the Pass Key is verified.
  • Share the Pass Key only with the assigned Delivery Partner at the actual time of pickup or delivery, and never with unauthorised persons. Any loss arising from incorrect sharing of the Pass Key is your responsibility.
  • Status notifications. Where enabled, the Platform will endeavour to send status updates — such as an approximate arrival time and an alert shortly before the Delivery Partner reaches the destination — to your registered mobile number through in-app notification, and as a convenience also through SMS and/or WhatsApp. The in-app status is the authoritative record; SMS and WhatsApp messages are indicative copies only. All times are estimates, not commitments.
  • Dependent on third parties. These notifications depend on mapping, messaging and network services provided by third parties and on your own device and connectivity; their timing, accuracy and delivery are not guaranteed, and we are not liable for any delay in or failure of a notification. The waiting window, Pass Key verification and any charges are determined by the Delivery Partner’s actual arrival and the records on the Platform, and do not depend on whether any message was sent, delivered or read.

Delivery Estimates
  • Delivery times are indicative estimates based on expected travel duration between pickup and drop, and are not guaranteed.
  • Estimates are subject to traffic, weather, route constraints and partner availability. Any time examples shown are illustrative only and are not a commitment.

Your Responsibilities
  • Provide accurate pickup, drop and contact details.
  • Pack all parcels properly and declare their contents and value truthfully and lawfully.
  • Do not ship any prohibited item listed in Section 8, and do not misuse the Platform for any illegal or unauthorised purpose.
  • Obtain and carry any tax invoice, e-way bill or permit required by law for the goods you send.

Prohibited Items

The following items are strictly prohibited (this list is illustrative, not exhaustive):

  • Narcotic and psychotropic substances and other contraband (NDPS Act, 1985); stolen goods.
  • Weapons, explosives and ammunition (Arms Act, 1959; Explosives Act, 1884; Explosive Substances Act, 1908).
  • Hazardous or flammable materials, and dangerous goods not packed and labelled as required under the Central Motor Vehicles Rules, 1989.
  • Cash, jewellery or high-value unsecured items.
  • Wildlife and wildlife products (Wild Life (Protection) Act, 1972); counterfeit or IP-infringing goods; currency in violation of law; live animals; human remains.
  • Perishable items, unless explicitly permitted at booking; and any goods restricted or prohibited under Indian law.

Shipping a prohibited item may lead to refusal, account termination and legal action, and you indemnify us against any resulting loss.

Packaging
  • You are responsible for proper, protective packaging of every parcel. Fragile items (glass, electronics, screens, liquids, delicate materials) must be securely packed.
  • We are not responsible for damage caused by inadequate packaging. Delivery Partners may refuse unsafe parcels.

Pricing & Payment
  • Payments are collected through our integrated payment system, operated via an RBI-authorised payment aggregator or gateway. We act as a payment facilitator between you and the Delivery Partner.
  • GST. All fares and charges shown on the Platform are inclusive of Goods and Services Tax (GST) at the applicable rate. GST is levied, collected and remitted in accordance with the Goods and Services Tax laws in force (including the Central Goods and Services Tax Act, 2017 and the applicable State and Integrated GST laws) and the rules made thereunder, as amended from time to time. A GST-compliant tax invoice will be issued for each booking.
  • Prices may vary with demand, distance and availability. The price applicable to a booking is the one shown and accepted at the time of booking; any change applies only to future bookings.
  • Fair dealing. All charges are shown transparently before you confirm. We do not use false urgency, hidden charges, pre-ticked add-ons, basket-sneaking or other ‘dark patterns’, in line with the Guidelines for Prevention and Regulation of Dark Patterns, 2023 issued by the Central Consumer Protection Authority.
  • Prepaid bookings. All bookings are prepaid through the Platform. We do not offer cash on delivery, except where a specific scheme, offer, cashback or loyalty-points arrangement is expressly made available by the Platform.

Cancellation & Refund
  • You may cancel before pickup. Cancellation fees, if any, are those disclosed at the time of booking.
  • Refund eligibility:
      Before pickup — partial or full refund may be available.
      After pickup — no refund applicable.
  • Eligible refunds are normally processed within 5–7 working days, depending on your payment method and banking partners. Fraudulent refund claims may be rejected.

If the Receiver Is Not Available
  • Waiting time at delivery. The Delivery Partner will wait a maximum of 15 minutes from arrival at the delivery location. After that, the Delivery Partner will act on the fallback instruction you selected at booking. A waiting or re-attempt charge may apply, and the Platform shall not be responsible for the resulting delay or non-delivery, save where caused by the Platform’s or its partner’s gross negligence, fraud or wilful misconduct.
  • Your fallback is followed. The Delivery Partner will hand the Parcel to the named alternate or authorised person, make the permitted safe-drop, or deliver to the nominated local point, as you selected. Pass Key or other proof of handover applies where relevant.
  • One-directional routes. Because routes may be intercity and one-directional, the Delivery Partner may not be able to return the Parcel to the pickup point. Where no fallback can be completed, the Delivery Partner will contact you to arrange return or alternate delivery; any such arrangement, and its cost and risk, is a matter between you and the Delivery Partner.
  • Custody and risk. The Platform does not take custody of, store, or warehouse any uncollected Parcel. Until the Parcel is delivered, returned or otherwise dealt with under your instruction, it remains in the Delivery Partner’s custody and at the risk of the Sender and the Delivery Partner; the Platform is not responsible for its safekeeping, location or onward movement.
  • Deemed closure. If the Parcel cannot be delivered or returned despite reasonable attempts, the booking is treated as closed on the Platform, and any further resolution of the Parcel is solely a civil matter between the Sender and the Delivery Partner. The Platform has no further role, custody or liability in respect of it.

Liability & Compensation for Parcels
  • Compensation for lost, damaged, delayed or failed deliveries is subject to verification and investigation, and applies only where the loss or damage is verified to have arisen from transit negligence, mishandling, operational failure or authorised-partner fault.
  • You must report any loss, damage, missing items or delivery issue within 48 hours, or as soon as reasonably practicable, from delivery or expected delivery. You may be asked for proof (unedited parcel-opening video, photographs, packaging proof, invoice/value proof, delivery details).
  • We are not liable for loss or damage due to inadequate packaging, undeclared fragile or high-value items, prohibited items, normal wear and tear, manufacturer defects, force majeure, or incorrect information you provide.
  • Maximum liability: our liability for a parcel is limited to its declared value, subject to a reasonable cap disclosed at booking, unless you have purchased additional parcel protection or insurance. This limit is a fair allocation of risk that reflects the low service charge relative to parcel value and the parcel-protection option made available to you.
  • No indirect loss. To the extent permitted by law, we are not liable for any indirect, incidental, special or consequential loss (such as loss of profit, business or opportunity), and our total aggregate liability for any booking shall not exceed the limit in this Section.
  • Insurance route. Where parcel protection or insurance has been purchased, an eligible claim is settled in accordance with that cover, and you agree to co-operate with the insurer’s reasonable requirements.
  • Non-excludable liability: nothing in these Terms limits our liability for death or personal injury caused by negligence, for fraud, or where such limitation is not permitted by law; and nothing limits your statutory rights as a consumer.
  • Optional parcel protection or insurance may be offered for eligible parcels at additional charges. Verified compensation is normally processed within 7–15 working days. Fake or manipulated claims may result in rejection, suspension, recovery proceedings or legal action.

Insurance
  • Delivery Partners are required to maintain valid third-party and goods-in-transit insurance as required by law and the aggregator guidelines.
  • Senders may purchase optional parcel-protection or insurance cover for eligible parcels; the limits and terms will be disclosed at the time of purchase.

Delivery Partners
  • Delivery Partners are independent contractors and not our employees. They engage with us under a separate Delivery Partner Agreement. We will comply with the Code on Social Security, 2020 and any applicable State gig-worker welfare law, including welfare-cess contributions where required.
  • Where a vehicle is used to carry goods for hire or reward, the Delivery Partner must hold valid commercial/transport registration and a goods-carriage permit under the Motor Vehicles Act, 1988 and the Central Motor Vehicles Rules, 1989, with valid fitness, PUC, third-party and goods-in-transit insurance, a driving licence for the vehicle class, and must clear police verification.

Safety & Community
  • No harassment, abuse, violence, fraud, fake bookings, manipulation, or illegal activity of any kind. Compliance with traffic and safety laws is mandatory, and all users and partners must be treated with respect.
  • Complete Pass Key verification before any handover. Unsafe or unlawful conduct may be reported to the Grievance Officer (Section 22). Violations may result in suspension or a permanent ban.

Privacy & Data Protection

Our full data practices are set out in our separate Privacy Policy, which forms part of these Terms. In summary:

  • As Data Fiduciary, we collect data such as your name, KYC, phone number, location and payment information on the basis of your consent and permitted legitimate uses under the Digital Personal Data Protection Act, 2023. We do not sell your data, and location data is used only during active services.
  • You may access, correct, update or erase your data, withdraw consent as easily as you gave it, nominate a representative, and raise grievances. We retain data only as long as needed or as law requires, and then erase it.
  • In a personal-data breach, we will notify the Data Protection Board of India and affected users within the timelines under the Digital Personal Data Protection Rules, 2025.
  • Our Data Protection / Grievance Officer is contactable at the details in Section 22. You may request account and data deletion through that officer, subject to legal retention requirements.
  • Messaging consent. By providing your mobile number you consent to receive transactional and service messages (such as booking, dispatch and arrival updates) by call, SMS and WhatsApp, in line with applicable telecom and data-protection regulations. You may opt out of non-essential messages at any time.

Cookies
  • We use cookies for authentication, personalisation and analytics. Non-essential cookies are used on the basis of your consent, which you may withdraw. You may disable cookies in your browser, though some features may then not work properly.

Intellectual Property
  • All trademarks, software, content and design of the Platform belong to the Company. You receive a limited, non-transferable licence to use the Platform for its intended purpose only.

Indemnity

You agree to indemnify and hold harmless the Company, its affiliates and partners against reasonable, direct claims, damages, losses or legal costs arising from your misuse of the Platform, your breach of these Terms, or any illegal or unauthorised activity by you. We will notify you of any such claim, give you a reasonable opportunity to participate, and not settle it in a way that admits your liability without your consent (not to be unreasonably withheld).

Disclaimers, Limitation & Evidence
  • The Platform is provided on an “as available” basis. We are not responsible for delays caused by traffic, weather or operational constraints, for damage from improper packaging, for losses due to inaccurate information you provide, or, except where we fail our own due-diligence duties, for the acts of independent Delivery Partners.
  • Successful Pass Key verification acts as proof of pickup and delivery. To the extent permitted by law our liability is limited as set out in Section 13, and the non-excludable carve-out in Section 13 applies.
  • Electronic records. Our system records — including Pass Key logs, GPS data, timestamps, booking and chat records, and parcel photographs — are reliable business records and may be produced as electronic evidence under the Bharatiya Sakshya Adhiniyam, 2023. In the absence of clear contrary proof, Pass-Key-verified pickup and delivery records are treated as conclusive of handover.
  • Set-off. We may set off any amount you owe us (including charges, penalties or recoveries) against any amount payable to you.

Grievance Redressal

In compliance with the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the Consumer Protection (E-Commerce) Rules, 2020 and the Digital Personal Data Protection Act, 2023:

  • Grievance / Nodal / Data Protection Officer: [Name], [Designation], [Address], [Email], [Phone].
  • Complaints are acknowledged within 24 hours and resolved within 15 days under the IT Rules. Consumer complaints are acknowledged within 48 hours and redressed within one month under the E-Commerce Rules.

Governing Law, Dispute Resolution & Jurisdiction
  • These Terms are governed by the laws of India.
  • Disputes other than consumer disputes shall be resolved by arbitration under the Arbitration and Conciliation Act, 1996, seated at [city], in English, before a sole arbitrator.
  • Nothing in this clause limits your statutory right as a consumer to approach the consumer forums. Subject to that, the courts at [city] shall have jurisdiction.

Force Majeure
  • We are not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, accidents, riots, strikes, government action, network or power failure, or pandemics.

Suspension & Termination
  • We may suspend or terminate an account for breach, fraud or unlawful use, with notice except where immediate action is needed to prevent harm or as the law requires.
  • We may discontinue services with reasonable notice. Accrued rights, completed bookings and any refunds due survive termination.

Changes to These Terms
  • We may update these Terms from time to time. We will post the updated Terms with a clear effective date and, for material changes, give reasonable notice. Continued use after the effective date constitutes acceptance.

General
  • Severability — if any clause is held invalid, the remaining clauses continue in force.
  • Entire Agreement — these Terms, the Privacy Policy and the Grievance Policy together form the complete agreement between you and us.
  • Assignment — you may not assign these Terms; we may assign them on notice.
  • Waiver — our not enforcing a right on one occasion does not waive it.
  • Notices — we may give notices in-app or by email or SMS to your registered details.
  • Language — in case of conflict between language versions, the English version prevails.

Consent & Acknowledgement

By selecting “I Agree”, the Partner confirms separately:

  • (a) Acceptance of Terms — you have read, understood and accept these Terms & Conditions.
  • (b) Data consent — you have read the Privacy Policy and you consent to the processing of your personal data for the purposes described in it. You may withdraw this consent at any time through the Grievance Officer, as easily as you gave it.

We record the date, time and version of the Terms you accept. If you do not agree, please do not use the Platform.
